2. Eligibility

You must be at least 13 years old to use the Service.

If you are under the age of majority in your jurisdiction but at least 13 years old, you may use the Service only with the consent and supervision of a parent or legal guardian.

If applicable law in your jurisdiction requires a higher minimum age for digital services, that higher minimum age applies.

3. The Service

Koa provides AI-powered features designed primarily to run locally on your Device. The Service may also include remote behavior updates, configuration controls, environmental impact calculations, interface changes, and related support functionality.

We may add, remove, suspend, or modify features at any time. We do not guarantee that any specific model, feature, behavior, or configuration will remain available.

4. No Professional Advice; High-Risk Use Restrictions

Koa is a general-purpose AI product for informational, creative, and productivity use only.

Koa does not provide legal, medical, mental health, financial, accounting, engineering, or other professional advice. Outputs may be inaccurate, incomplete, outdated, biased, offensive, or inappropriate.

You are solely responsible for reviewing and evaluating Output before relying on it.

You must not use the Service in situations where errors could lead to death, personal injury, property damage, environmental harm, or other significant harm, including:

• emergency response
• medical diagnosis or treatment
• legal determinations
• credit, employment, housing, or insurance decisions
• safety-critical systems
• critical infrastructure
• weapons or military use

5. User Content and Ownership

You retain whatever ownership rights you have in your User Content.

Subject to these Terms, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, process, store, reproduce, and display User Content only as reasonably necessary to operate, secure, support, and improve the Service.

For clarity, unless expressly disclosed otherwise, we do not claim ownership of your prompts or files, and we do not use your private User Content submitted to core Koa features to train remote AI models.

You represent and warrant that:

• you own or control the rights necessary to provide the User Content
• your User Content and use of the Service do not violate any law or third-party right
• you have all necessary rights and consents for any personal data or third-party content you submit

6. AI Outputs

AI-generated Output may not be unique and may be similar to content generated for other users.

You are responsible for reviewing Output for accuracy, legality, safety, appropriateness, and fitness for your intended use.

You must not represent Output as professional advice or guaranteed fact without appropriate verification.

7. Prohibited Uses

You agree not to, and not to help others to:

• use the Service in violation of any law or regulation
• infringe, misappropriate, or violate any third-party rights
• upload or process content you do not have the right to use
• create or distribute unlawful, exploitative, or abusive content
• generate malware, phishing content, or malicious code
• attempt to gain unauthorized access to the Service or related systems
• interfere with the integrity, security, or performance of the Service
• reverse engineer, decompile, disassemble, scrape, or attempt to extract source code, model weights, datasets, or underlying components, except to the extent prohibited by law
• use the Service for harassment, impersonation, fraud, deception, or illegal surveillance
• use the Service to make fully automated decisions about individuals in legally or similarly significant matters without meaningful human review
• remove or alter proprietary notices or security features

We may suspend or terminate access for violations of these Terms or where your use presents risk to us, the Service, or others.

8. Environmental Impact Metrics

The Service may display estimates relating to water savings, CO2 savings, energy savings, and similar environmental impact metrics.

These metrics are estimates only. They may rely on assumptions, models, average values, simplified methodologies, and evolving logic.

You agree not to treat these metrics as audited claims, scientific conclusions, regulatory disclosures, guarantees, or verified real-world environmental outcomes.

We may revise the methodology, calculation logic, or presentation of these metrics at any time.

9. Free App

Koa is currently offered as a free app.

Koa does not currently offer paid subscriptions, recurring billing, or free trial plans. We may introduce paid features or offerings in the future, and if we do, additional terms may apply.

10. App Store Terms

If you download the Application from the Apple App Store, you acknowledge and agree that:

• these Terms are between you and Koa, not Apple
• Apple is not responsible for the Application or its content
• your use of the Application must comply with the applicable App Store terms
• Apple has no obligation to provide maintenance or support services for the Application except as required by law
• Apple is a third-party beneficiary of these Terms and may enforce these Terms against you as they relate to the Application

11. Intellectual Property

The Service, including its software, interface, design, branding, logos, trademarks, documentation, and related intellectual property, is owned by Koa or its licensors and is protected by law.

Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication or otherwise.

You may not use our name, logo, branding, or trademarks without our prior written consent.

12. Feedback

If you provide suggestions, ideas, proposals, comments, or other feedback regarding the Service, you grant us a worldwide, perpetual, irrevocable, non-exclusive, royalty-free right to use and exploit that feedback for any purpose, without compensation.

13. Third-Party Services

The Service may rely on or interact with third-party services, including the Apple App Store and Firebase Remote Config.

We are not responsible for third-party services or content, and your use of them may be subject to separate terms and policies.

14. Availability, Changes, and Updates

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

We do not guarantee uninterrupted availability or that the Service will be error-free, secure, or compatible with every Device or operating system version.

Updates may change functionality, model behavior, interface elements, safety settings, or performance.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if:

• you violate these Terms
• we are required to do so by law
• your use presents legal, operational, or reputational risk
• we discontinue the Service or a relevant part of it

Upon termination, the rights granted to you under these Terms will immediately cease.

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

KOA DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

• OUTPUTS WILL BE ACCURATE, RELIABLE, CURRENT, OR SUITABLE FOR YOUR PURPOSES
• ENVIRONMENTAL IMPACT ESTIMATES WILL REFLECT REAL-WORLD RESULTS
• ANY DEFECTS WILL BE CORRECTED
• THE SERVICE WILL ALWAYS FUNCTION ON YOUR DEVICE OR WITH YOUR OS VERSION

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, MEMBERS, MANAGERS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR
• USD $25

Because Koa is currently free, this clause is intended to keep liability as limited as possible to the maximum extent allowed by law.

Some jurisdictions do not allow certain liability limitations, so parts of this section may not apply to you.

18. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Koa and its affiliates, officers, employees, members, managers, contractors, licensors, and service providers from and against claims, liabilities, damages, judgments, losses, and expenses arising out of or related to:

• your use of the Service
• your User Content
• your violation of these Terms
• your violation of any law or third-party right

19. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles, except to the extent applicable consumer protection law requires otherwise.

20. Exclusive Venue; Jury Trial and Class Action Waiver

To the maximum extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction and venue of those courts.

To the maximum extent permitted by law:

• you and Koa each waive any right to a trial by jury
• you and Koa each agree that claims may be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, representative, or private attorney general proceeding

If any part of this section is found unenforceable with respect to a particular claim or remedy, the rest of the section shall remain in effect to the fullest extent permitted by law.

21. Severability and Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision is not a waiver of our right to do so later.

22. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice through the Service or by updating the "Last updated" date.

By continuing to use the Service after updated Terms become effective, you agree to the revised Terms.
